Displays graduated assessments, including unfavorable, intermediate, and favorable, so users can identify provisions that disadvantage their company.
Free AI checks for NDAs governed by Japanese law, with clause ratings and revision guidance.
GVA NDA Check is GVA TECH’s AI service for screening nondisclosure agreements. Upload an NDA in Word or text-readable PDF format to review clause ratings, revision points and sample explanations, then revise the agreement yourself. The instant check focuses on NDAs governed by Japanese law; English-language agreements and contracts governed by other countries’ laws are outside its supported scope.
The service is intended for small businesses, startups, freelancers and staff handling contracts without a dedicated legal department. It provides general, preliminary risk information rather than case-specific legal advice or a guarantee that an agreement protects your interests. Users remain responsible for checking the results, with professional review for matters that require it.
Displays graduated assessments, including unfavorable, intermediate, and favorable, so users can identify provisions that disadvantage their company.
Identifies revision points and supplies example wording to help users prepare their own clause edits.
Flags clauses that lawyers commonly review because they are prone to disputes or can create substantial damage when disputes arise. Examples of potential trouble help users assess whether to accept a provision.
Provides sample explanations of why a clause should be revised, helping users communicate the reason for a proposed change to the counterparty.
Small businesses and startups can use the feedback to focus their review on consequential terms before exchanging confidential business information.
Freelancers receiving an NDA can examine unfavorable provisions and use suggested wording when discussing terms with a client.
Operational staff can perform an initial check before passing the NDA to an executive, helping management focus its attention on flagged issues.
Teams can use the service for initial screening and involve an advising lawyer for important matters or large contracts, according to the business context.
Instant NDA checks are free and unlimited after account registration. Registration and acceptance of the service terms are required.
Instant checking supports NDAs governed by Japanese law. English-language contracts and contracts governed by non-Japanese law are excluded. Supported file types are .doc, .docx and text-readable .pdf.
No. Upload the agreement, inspect the clause ratings and suggested wording, then revise it yourself. The service provides general risk information; it does not prepare documents or provide case-specific legal advice. GVA does not answer individual contract-law questions, and the user must verify the results.
Image-only PDFs, multi-column layouts, tables, tables of contents, opening signature blocks, tracked changes and protected files are unsupported. The input must be readable text with an appropriate layout. Using an unsupported file can produce incorrect results even if the upload succeeds.
This is a cloud service. Follow your organization’s upload policy; anonymizing sensitive company names is recommended when appropriate. Uploaded information can be used to provide, maintain and improve the service, including storage by hosting providers.
Contracts can sync between administrator and subaccounts in the same company. During a check request, leave the “do not show this request to other users in the same company” box unchecked to share, or check it to prevent that synchronization. Keep your own source copies; service access and uploaded-data viewing end when you leave.
The service is for your own use and cannot be resold or redistributed. Lawyers and other professionals may lawfully use it for clients within the necessary scope allowed by the terms; that exception is not a blanket right to reuse third-party contracts or resell the platform.
